Terms of Service

1. Acceptance of Terms

Welcome to Fast Pay Books. By accessing or using our financial management platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Fast Pay Books ("Company," "we," "our," or "us").

2. Description of Service

Fast Pay Books provides a cloud-based financial management platform that includes:

• Invoice creation, management, and sending
• Expense tracking and categorization
• Payment processing and acceptance
• Bank account connectivity and transaction imports
• Financial reporting and analytics
• Customer relationship management
• SMS and email notifications

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use our Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscription Plans and Billing

4.1 Plans

We offer Basic and Premium subscription plans with different features and pricing. Plan details are available on our website.

4.2 Free Trial

New users may be eligible for a 14-day free trial. A valid credit or debit card is required to start the trial, but your card will not be charged during the 14-day trial period. At the end of the trial, your card on file will be charged for the selected plan unless you cancel before the trial ends.

4.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days notice

4.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period.

5. Third-Party Services

Our Service integrates with third-party providers:

5.1 Stripe

Payment processing is provided by Stripe. By using payment features, you agree to Stripe's Terms of Service.

5.2 Plaid

Bank connectivity is provided by Plaid. By connecting bank accounts, you agree to Plaid's Terms.

5.3 Twilio

Account and transactional SMS notifications are powered by Twilio. Standard messaging rates may apply from your carrier.

5.4 Constant Contact

Marketing and newsletter SMS communications are powered by Constant Contact. By opting in to marketing text messages, you agree to Constant Contact's Terms of Service. Standard messaging rates may apply from your carrier.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Use the Service for money laundering or fraudulent activities
• Reverse engineer, decompile, or disassemble the Service

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by Fast Pay Books and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your content solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. SMS Messaging Terms

Fast Pay Books offers SMS messaging through two providers: Twilio, for account and transactional notifications, and Constant Contact, for marketing and newsletter communications. You are not required to opt in to either SMS program in order to create an account or use the Service. Sections 9.1–9.9 below describe the Twilio-powered account/transactional Program and apply if and only if you affirmatively opt in by checking the SMS consent box at signup or by enabling SMS notifications in your account settings. Section 9.10 describes the separate Constant Contact-powered marketing/newsletter Program.

9.1 Consent

By checking the SMS consent box at signup, you expressly authorize Fast Pay Books to send you recurring text messages, which may be sent using an autodialer or other automated messaging technology, to the mobile number you provide. Consent is not a condition of purchase, and your participation in the Program is completely voluntary. The consent checkbox is unchecked by default.

9.2 Program Description

Program name: Fast Pay Books Account & Payment Notifications. Messages may include:

• Payment reminders, confirmations, and failed-payment alerts
• Invoice creation, send, view, and paid notifications
• Account, security, and fraud alerts
• One-time verification codes for two-factor authentication (when enabled)
• Occasional product updates and service announcements

9.3 Message Frequency and Cost

Message frequency varies based on your account activity. Message and data rates may apply. Fast Pay Books does not charge you for SMS messages, but your wireless carrier may.

9.4 Help and Opt-Out

Reply HELP to any Fast Pay Books text message for assistance, email support@fastpaybooks.com, or call (385) 355-0143. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message to immediately opt out of marketing and notification SMS, or disable SMS notifications inside the app at Settings > Notifications. You may continue to receive messages for a short period while we process your request and may receive a one-time opt-out confirmation message. Opting out of marketing messages does not opt you out of one-time verification codes while SMS-based two-factor authentication is enabled on your account; you may disable SMS 2FA at any time from Account > Security.

9.5 Supported Carriers

Supported on all major U.S. carriers, including AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, and others. Carriers are not liable for delayed or undelivered messages.

9.6 No Sharing of Mobile Information for Marketing

No mobile information, including phone numbers and SMS opt-in data, will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with our subprocessors (such as Twilio and Constant Contact) is limited to what is strictly required to deliver the SMS messages you have requested, and those subprocessors are contractually prohibited from using your information for their own marketing. 9.7 Eligibility

You must be at least 18 years old and the account holder or authorized user of the mobile number you provide. You agree to notify Fast Pay Books promptly if you stop using or transfer the mobile number associated with your account.

9.8 Program Availability and Disclaimer

The Program is offered on an "as-is" basis and may not be available in all areas, at all times, or on all mobile providers. Neither we nor our service providers will be liable for any failed, delayed, or misdirected delivery of any mobile message sent through the Program.

9.9 Changes to the Program

We may modify, suspend, or cancel the Program or any of its features at any time, with or without notice. We may also change the telephone number or short code we use to operate the Program; we will notify you of any such change through the Service.

9.10 Constant Contact Marketing and Newsletter SMS Program

Program name: Fast Pay Books Newsletter & Promotions. If you separately opt in to receive marketing text messages (for example, through our newsletter signup form), Fast Pay Books uses Constant Contact to deliver promotional offers, product announcements, and newsletter content to the mobile number you provide. Consent to this Program is not a condition of purchase and is entirely separate from, and not required for, the Twilio-powered account/transactional Program described above. Message frequency varies, and message and data rates may apply. Reply HELP for help or STOP to opt out at any time; you may also unsubscribe using the link or instructions provided in each message. Supported on all major U.S. carriers, which are not liable for delayed or undelivered messages.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results obtained from using the Service will be accurate or reliable

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FASTPAYBOOKS PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fast Pay Books and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data after a reasonable retention period
• Provisions that by their nature should survive termination shall survive

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Salt Lake County, Utah.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
